AEDC transforms into Holding Company, unveils Niger, Kogi Electricity Distribution Companies

Abuja Electricity Distribution Plc (AEDC) has officially transitioned into a Holding Company (HOLDCO) structure, a strategic move aimed at enhancing operational efficiency, governance, and responsiveness within Nigeria’s evolving electricity sector.

The shift comes in the wake of the Electricity Act of 2023, which empowers state governments to establish independent electricity markets and regulatory commissions. To align with this decentralized framework, AEDC has realigned its corporate structure, positioning the Group to operate nimbly across its franchise areas while maintaining a unified corporate identity.

As part of the transformation, AEDC has incorporated two subsidiary companies: the Niger Electricity Distribution Company and the Kogi Electricity Distribution Company. These entities will operate under the Niger State Electricity Regulatory Commission (NSERC) and the Kogi State Electricity Regulatory Commission (KSERC), respectively, while remaining integral members of the AEDC Group. Plans to expand operations into Nasarawa State are also underway, with transition processes set to commence soon.

Strategic executive appointments have been announced. Engr. Sam Odekina has been named Chief Business Officer and Acting Managing Director of the Niger Electricity Distribution Company, while Mr. Desmond Eboh assumes the same roles for the Kogi Electricity Distribution Company.

Speaking on the HOLDCO transition, AEDC Managing Director/CEO Engr. Chijioke Okwuokenye said: “The Holdco structure aligns perfectly with our goal to enhance operational efficiency and adapt to Nigeria’s evolving energy landscape while exploring new opportunities, driving growth, and contributing to Nigeria’s energy sector development.”

He emphasized that the structural change will not compromise service quality, noting: “We are committed to maintaining our high standards of service, innovation, and customer focus, even as we evolve into a new structure.” All subsidiaries will operate as one integrated AEDC family, with uniform Conditions of Service applied across the Group. This approach, Okwuokenye said, ensures workforce stability, fairness, and alignment during the transition.

AEDC reaffirmed its dedication to supporting sustainable, state-regulated electricity markets and setting benchmarks for efficiency, reliability, and customer experience. The Group serves the Federal Capital Territory and parts of Niger, Kogi, and Nasarawa States, providing electricity to residential, commercial, and industrial customers while driving economic growth and improving quality of life.

“This transformation positions AEDC to respond effectively to state-specific regulatory requirements while preserving our shared values and commitment to operational excellence and customer service,” Okwuokenye added.

By evolving into a HOLDCO structure, AEDC aims to combine regulatory compliance with operational agility, ensuring that its subsidiaries can meet state-level electricity demands efficiently while sustaining a unified corporate vision across all franchise areas.
